1. Introduction and Acceptance of Terms
The Mila Applied Projects Hub (the “Hub”), a dedicated website operated by Mila – Quebec Artificial Intelligence Institute (“Mila,” “we,” “our,” or “us”), designed to provide public, exploratory access to applied artificial intelligence prototypes developed by our teams.
By registering for an account, accessing, or using the Hub and its associated prototypes, you (the “User” or “you”) agree to be bound by these Terms and Conditions and End User License Agreement (“Terms”). If you do not agree to all of these Terms, you are strictly prohibited from using the Hub. You represent and warrant that you are of the legal age of majority in your jurisdiction of residence to form a binding contract with Mila.
2. Description of the Prototypes
The Hub provides access to experimental AI tools (the “Prototypes”), which currently include:
- AnomalIA: An image anomaly detection tool.
- IndexIA: A Retrieval-Augmented Generation (RAG) system for document indexing.
- ConformIA: A tool for evaluating document compliance against predefined rule sets.
2.1 Experimental Nature:These Prototypes are alpha/beta stage experimental models. They are hosted in third-party cloud environments utilizing generic Large Language Models (LLMs) and operate completely independently of Mila’s internal research compute clusters.
3. Account Registration and Usage Limits
3.1 Account Creation: To access the Prototypes, you must create a free account providing accurate and current information, limited to your Name, Email Address, and Company/Institution affiliation. You are solely responsible for all activities under your account and for maintaining the confidentiality of your credentials.
3.2 Compute Allocation: Access is provided on a limited, subsidized basis for exploratory purposes. Each User account is granted a maximum compute allocation equivalent to $10.00 USD per month. This allocation resets at the beginning of each month. Mila reserves the right to suspend, throttle, or terminate your access without notice if this limit is reached or if anomalous usage is detected.
3.3 Right to Modify: Mila reserves the right to modify, suspend, or discontinue the Hub, any specific Prototype, or your access to them at any time, for any reason, without prior notice or liability.
4. Permitted Use and Licensing
4.1 Limited License: Mila grants you a personal, non-exclusive, non-transferable, revocable limited license to access and use the Prototypes strictly for personal, educational, exploratory, and testing purposes.
4.2 Open Source Code: The source code for the Hub and the Prototypes is made publicly available under the MIT License. Your use, modification, and distribution of the underlying code are governed by the terms of the MIT License associated with those repositories, not by these Terms.
4.3 Third-Party Provider Terms: The Prototypes rely on third-party cloud infrastructure and LLM Application Programming Interfaces (APIs), specifically Google Cloud (GCP) / Google Gemini and OpenAI. By using the Hub, you also agree not to use the Prototypes in any manner that violates the Acceptable Use Policies of these underlying providers.
5. Prohibited and Unethical Uses
In alignment with the Montréal Declaration for a Responsible Development of Artificial Intelligence, Mila strictly prohibits any use of these tools that undermines human well-being, autonomy, equity, privacy, or democratic processes. Furthermore, given the specific nature of the Prototypes, you explicitly agree not to engage in the following activities:
- Commercial and Production Workloads: Using the Prototypes for business operations, commercial deployment, official administrative tasks, or any revenue-generating activities.
- Unauthorized Image Uploads (AnomalIA): Uploading images for which you do not hold the copyright or explicit usage rights. You are strictly prohibited from uploading images containing identifiable individuals without their express consent, or any images containing explicit, graphic, or illegal content.
- Proprietary Document Ingestion (IndexIA & ConformIA): Uploading classified information, confidential corporate documents, proprietary source code, or internal knowledge bases into the indexing or compliance models. You assume all risks associated with data leakage of any text uploaded to these third-party cloud models.
- Harm and Violence: Generating content or instructions that promote, facilitate, or encourage physical, psychological, or emotional harm, violence, self-harm, or otherwise illegal acts.
- Discrimination and Bias: Profiling, targeting, excluding, or discriminating against individuals or groups based on legally protected characteristics.
- Manipulation and Deception: Creating deceptive content, spreading disinformation, generating malicious deepfakes, or interfering with democratic processes.
- Privacy Violations: Inputting, processing, or extracting confidential information or highly sensitive personal information without explicit, informed, and documented consent.
- System Disruption: Reverse engineering the models, bypassing safety filters, executing prompt injection attacks, attempting to extract underlying training data, or disrupting the hosting infrastructure.
6. Privacy, Data Processing, and AI Training
6.1 Third-Party Cloud Processing:By submitting data, text, images, or files (collectively, “User Inputs”) to the Prototypes, you acknowledge and consent that these inputs are processed by generic, third-party cloud LLM providers, including Google Cloud Platform (GCP) and OpenAI APIs.
6.2 Cross-Border Data Transfers: The cloud infrastructure and generic LLMs utilized by the Hub may be hosted on servers located outside of the Province of Quebec or Canada (including but not limited to the United States). By creating an account and uploading User Inputs, you explicitly consent to the transfer, storage, and processing of your data in the United States and other external jurisdictions utilized by our providers.
6.3 Data Retention and Control: Your User Inputs and generated outputs are tied exclusively to your registered account. Documents and images you upload are retained until you explicitly delete them. You retain the explicit right and technical ability to delete your uploaded files and query history at any time through your account dashboard. System and application logs at GCP are retained for a default period of 30 days.
6.4 Automated Account Purging: In accordance with data minimization principles, Mila will automatically delete your account, associated personal information, and remaining User Inputs after two (2) years of account inactivity.
6.5 No AI Model Training: Mila strictly prohibits the use of your User Inputs and resulting outputs to train, fine-tune, or iteratively improve the Prototypes or any other Mila AI models.
6.6 Service Analytics: Mila may use anonymized or aggregated account affiliation data (such as company domain names) solely for internal analytics to understand the demographic reach of the Hub and to track the market impact of our applied projects.
6.7 Marketing and Communications: Mila will not use your email address for marketing purposes. Your email is used exclusively for account creation, login, and essential service notifications. 6.8 Law 25 Compliance: The collection and handling of your registration data is governed by applicable Quebec privacy legislation. For any requests regarding access to, correction of, or deletion of your personal information, please contact our designated Privacy Officer at the address provided in Section 14.
7. Intellectual Property
7.1 Mila’s IP: Excluding the open-source code repositories provided under the MIT License, all rights, title, and interest in and to the Hub, including site design, logos, trademarks, and branding, remain the exclusive property of Mila.
7.2 User Outputs: Due to the nature of generative AI, Mila claims no ownership over the outputs generated by your use of the Prototypes. Conversely, Mila makes no representation that such outputs are copyrightable or free from third-party intellectual property claims. You utilize the outputs entirely at your own risk.
7.3 User Feedback:If you choose to provide comments, bug reports, or suggestions regarding the Prototypes (“Feedback”), you grant Mila a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our projects without any obligation or compensation to you.
8. Disclaimer of Warranties
8.1 General Disclaimer:THE HUB AND THE PROTOTYPES ARE PROVIDED EXCLUSIVELY ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MILA EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2 No Professional Advice (ConformIA Specific): The Prototypes, particularly ConformIA, are designed for experimental evaluation only. No output generated by the Hub constitutes legal, financial, regulatory, medical, or professional advice. You must not rely on the Prototypes to ensure compliance with any laws, regulations, contracts, or corporate policies.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES SHALL MILA, ITS DIRECTORS, RESEARCHERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE HUB OR PROTOTYPES, EVEN IF MILA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MILA’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT OF TEN CANADIAN DOLLARS ($10.00 CAD).
10. Indemnification
You agree to defend, indemnify, and hold harmless Mila, its affiliates, researchers, and employees from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your unethical or prohibited use of the Prototypes, or your infringement of any third-party rights.
11. Termination
Mila reserves the right, in its sole discretion, to terminate your account and your access to the Hub at any time, for any reason, without notice or liability. Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Hub shall be instituted exclusively in the competent courts located in the judicial district of Montreal, Quebec.
13. General Provisions
- Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
- Entire Agreement: These Terms constitute the entire agreement between you and Mila regarding the use of the Hub and Prototypes.
